1. Agreement and purchase

DeskTap (the “Software”) is licensed, not sold. Polar Software, Inc. acts as merchant of record and authorized reseller for the checkout transaction. Completing a purchase also subjects the buyer to Polar’s applicable buyer terms. Your right to use the Software is governed by this agreement.

For the unlicensed evaluation, Version 1.1 applies only when there was no download or use before the recorded Version 1.1 activation time and the Software is first downloaded or used at or after that time from a GridWave page displaying Version 1.1. Any earlier download or use retains Version 1.0. For a purchase, Version 1.1 applies when the transaction completed at or after the recorded activation time and the order stores desktap_eula_v1_1_acceptance = true, which is Polar’s stored record of the required Version 1.1 Checkout assent. This rule applies regardless of when the Checkout Session was created. Missing or ambiguous stored assent is routed to Version 1.0 or the term more favorable to the customer. Purchases completed before activation retain Version 1.0 and all applicable mandatory rights. A later term may be applied earlier only when it is more favorable to the customer or required by law.

The unlicensed Software provides a three-day evaluation beginning after you confirm Start trial & Power on and DeskTap completes its first successful Power On. The evaluation is intended to let you check compatibility, detection and sound before purchase. It includes all nine built-in packs, with up to 100 actually audible outputs per pack. Custom sample packs require activation. When the evaluation ends, performance and editing functions are locked until a valid licence is activated.

The evaluation does not load or play custom samples. Review the published custom-pack formats and limits before purchase. A failure of an advertised paid custom-sample function is assessed under the Refund Policy and is not treated as something the evaluation already proved.

2. Licence grant

After payment and successful activation, GridWave DSP grants you a personal, non-exclusive, non-transferable licence to use the purchased DeskTap version on one Mac at a time. The purchase is one-time, not a subscription, and the licence has no automatic expiry, subject to the activation, validation and termination terms in this agreement. Updates, if released, may be provided without an additional update fee.

A licence is associated with the purchase email and Polar licence key. Moving to another Mac requires deactivating the current Polar device activation first. Separately priced sound packs and future products are not included unless the purchase description expressly says otherwise.

3. Licence verification and termination of access

Activation requires an internet connection. DeskTap sends the licence and device-activation data described in the Privacy Notice to Polar. The purchase email entered in DeskTap is checked locally against the customer email returned by Polar; it is not included in DeskTap’s activation request. DeskTap validates a cached licence periodically while running and permits a limited offline period after a successful validation.

If Polar reports a licence benefit or key as revoked or disabled, including after a refund or reversal where the benefit is revoked, access can end at the next online validation or when the offline validation period expires. This does not affect rights that mandatory law gives the consumer.

4. Restrictions

Except where applicable law expressly permits it, you may not:

  • share, publish, resell, rent, sublicense or transfer the application or key;
  • bypass, disable or interfere with trial, activation or licence enforcement;
  • reverse engineer, decompile or disassemble the Software;
  • remove or alter signatures, ownership notices or safety disclosures.

5. What DeskTap does

DeskTap is an entertainment audio application. It reads a supported MacBook’s built-in motion sensor, detects vibration transmitted through a desk or other surface or from a light direct fingertip tap on the MacBook, and plays a one-shot sample. Results depend on the Mac, macOS version, desk, placement, calibration, tapping method, audio configuration and ambient vibration.

The support range disclosed at purchase is part of the product description. Lack of individual hands-on testing does not by itself remove a configuration from that stated range. A beta or other configuration expressly disclosed as unsupported is outside that voluntary support representation, subject always to mandatory rights.

6. Physical and hearing safety

Before tapping, place the MacBook open in its normal operating position on a stable, flat, dry work surface away from liquids and edges. DeskTap responds to direct fingertip taps and vibrations transmitted through the supporting surface. During calibration, use controlled taps that represent the range you normally expect to use. “Firm” means the upper end of that normal range—not excessive force. During general use, use controlled taps similar to the normal playing range you used during calibration. When tapping the MacBook directly, use only light, controlled taps with a bare fingertip. Never use a fist, knuckle, tool, hard object, or thrown or dropped object. Avoid prolonged repeated or high-energy impacts. Stop immediately if the MacBook moves, slides, flexes, overheats, makes an abnormal sound or behaves unexpectedly. Start at low volume; sudden loud samples may damage hearing.

To the extent permitted by law, GridWave DSP is not responsible for hardware damage caused by excessive force, repeated high-energy impacts, hard objects, drops, unstable placement or other use outside these instructions, whether the impact is direct or transmitted through a supporting surface.

Nothing in this section excludes or limits liability for fraud, wilful misconduct, gross negligence, personal injury where exclusion is prohibited, a defective product where statutory liability applies, or any other liability or consumer remedy that cannot lawfully be excluded.

7. User content

DeskTap does not grant rights to audio you load. You are responsible for obtaining any rights required for your intended use, including sharing or selling a .desktappack.

8. Privacy and third parties

The Software’s data handling is described in the DeskTap Privacy Notice Version 1.1. Third-party software notices are supplied with the product. Polar’s checkout, customer portal and licence services are governed by Polar’s own terms and privacy policy.

9. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. This disclaimer does not reduce any mandatory conformity guarantee, repair, replacement, refund or other consumer right.

10. Limitation of liability

To the extent permitted by law, GridWave DSP is not liable for indirect or consequential economic losses, including lost profits, lost business or loss of opportunity. Where lawful, GridWave DSP’s aggregate liability for direct contractual claims relating to DeskTap will not exceed the amount paid for DeskTap. These limitations do not apply to fraud, wilful misconduct, gross negligence, mandatory consumer remedies or any liability that cannot lawfully be limited.

11. Refunds

The three-day evaluation is provided before purchase. The DeskTap Refund Policy Version 1.1 is incorporated into this agreement. GridWave DSP does not offer a voluntary refund for a request based only on change of mind after purchase. This is not an unconditional no refunds rule. GridWave DSP separately investigates a material, reasonably reproducible failure of an advertised function of the purchased DeskTap product on the official DeskTap 1.0.0 build and a configuration represented as supported for that purchase, using reasonable and proportionate troubleshooting. If the issue qualifies under the linked Refund Policy, no applicable voluntary exclusion is established, and the function cannot be restored within a reasonable time without significant inconvenience, GridWave DSP will arrange a refund through Polar. The voluntary product-issue process is not a time-limited change-of-mind guarantee.

Voluntary exclusions apply only after a factual review of cause and remain subject to applicable law. A DeskTap sensor error does not by itself establish a hardware fault, and a stable macOS release is not automatically excluded while it remains inside the advertised macOS 14.6 or later support range.

Polar’s buyer terms, card-network rules and mandatory consumer law apply to the payment and refund process. Statutory cancellation, withdrawal, conformity and refund rights for defective, misdescribed or non-conforming digital content are not waived.

When DeskTap receives a revoked or disabled licence status after a full refund, the licence ends as described in §3. DeskTap blocks remaining trial access in that session and attempts to persist that block in the Keychain on that Mac; a Keychain write failure can prevent persistence. Paid access can also end when the cached offline lease is no longer valid. Device deactivation for transfer is not a refund or revocation. Partial refunds and legally required remedies are handled according to their specific terms.

Send a request through an authenticated Polar route or complete verification using the purchase email account. An order reference locates a transaction but does not by itself authenticate the requester. Never send a complete licence key through ordinary email.

12. Termination

This agreement terminates if you materially breach it and fail to cure the breach where applicable law requires an opportunity to cure. On termination you must stop using and delete the Software. Sections intended by their nature to survive termination remain effective.

13. Governing law

This agreement is governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. If you are a consumer, this choice does not deprive you of mandatory protections or a mandatory forum available in your country of residence.
